These Terms and Conditions ("Terms") constitute a legally binding agreement between you and PatientQ Inc ("we," "us," or "our") governing your access to and use of the patientq.io website and any related services (collectively, the "Services").

PatientQ provides a platform to help manage patient appointment scheduling, queuing, and related workflows. The Services are intended for use by healthcare providers, clinics, and their staff. PatientQ is a technology platform only — we do not provide medical advice, diagnosis, or treatment.
Important: Nothing in the Services constitutes medical advice. Always consult a qualified healthcare professional for medical decisions.

PatientQ is a technology platform and is not a Covered Entity under the Health Insurance Portability and Accountability Act (HIPAA). However, we understand that healthcare providers using our Services may be subject to HIPAA and similar regulations.

Subscription Plans. Access to certain features of the Services requires a paid subscription. Details of available plans and pricing are described on our website.
Billing. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current subscription rate. All payments are processed by Stripe. By providing payment information, you also agree to Stripe's terms of service.
Renewal. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date.
Cancellation. You may cancel your subscription at any time through your account settings or by contacting support@patientq.io. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.
Price Changes. We reserve the right to change subscription pricing at any time. We will provide at least 30 days' notice of any price increase. Continued use of the Services after a price change constitutes acceptance of the new pricing.
Taxes. You are responsible for all applicable taxes associated with your subscription.
All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, and data — are the exclusive property of PatientQ Inc and are protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You must not:
You retain ownership of any content you submit, upload, or transmit through the Services ("User Content"). By submitting User Content, you grant PatientQ a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely to provide and improve the Services.

The Services may contain links to third-party websites or integrate with third-party services (such as Stripe for payments or Google Analytics for analytics). The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, PatientQ disclaims all warranties, including but not limited to:
To the fullest extent permitted by applicable law, PatientQ Inc, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of data, loss of revenue, or loss of goodwill.
Our total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to PatientQ in the twelve months preceding the claim, or (b) $100 USD.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless PatientQ Inc and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with:
We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

Informal Resolution. Before filing any formal dispute, you agree to contact us at support@patientq.io and attempt to resolve the matter informally. We will try to resolve the dispute within 30 days.
Governing Law. These Terms shall be governed by and construed in accordance with the laws of the state in which PatientQ Inc is incorporated, without regard to its conflict of law provisions.
Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, rather than in court, except that either party may bring claims in small claims court if eligible. The arbitration shall be conducted by a mutually agreed upon arbitrator in accordance with applicable arbitration rules.
Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the date at the top of this page and may notify you by email or through the Services. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and PatientQ Inc regarding the Services and supersede all prior agreements and understandings.
